SunChemApp Terms of Service

These Terms of Service ("Terms") are an agreement between you and SunChem LLC, an Arizona, United States company ("SunChem", "we", "us", or "our"). They govern your use of the SunChemApp website, web app, mobile apps, and related services (the "Service"). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Important pool and chemical safety notice

Eligibility and your account

• You must be at least 13 and legally permitted to use the Service. If you are not the age of majority where you live, a parent or guardian must permit your use and supervise any pool-chemical handling.
• You are responsible for activity that happens under your account.
• Provide accurate information, keep your sign-in method secure, and promptly tell us if you suspect unauthorized access.
• You may not transfer, rent, or sell your account.

License to use the Service

Subject to these Terms, SunChem grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for lawful pool-management purposes. SunChem and its licensors retain all rights in the Service, software, design, branding, models, and content other than information you submit.

Your information and content

As between you and SunChem, you retain your rights in pool records, test readings, notes, and other information you submit. You give SunChem a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and adapt that information only as reasonably needed to provide, secure, support, and improve the Service, comply with law, and share it with people you authorize.

You represent that you have the right to submit information to the Service and share it with your organization. Do not submit sensitive personal information that is unnecessary for pool management.

Teams

• An organization owner controls its subscription, membership, roles, permissions, and team pool data, including removing members and deleting pools.
• Information you enter in another person's organization becomes part of that organization's records and may remain under its owner's control after you leave, are removed, or delete your account.
• In some removal or customer hand-off situations, the Service may provide a separate pool snapshot to the departing user as shown in the app.
• Invitation and customer links may grant access to pool information. Protect links and send them only to intended, trusted recipients.

Subscriptions and billing

• Paid subscriptions unlock the features and limits shown at purchase. Recurring subscriptions automatically renew for the displayed period until cancelled, unless the purchase screen or applicable law says otherwise.
• Web purchases are processed by Stripe. Available plan changes, effective dates, credits, and prorations are shown in Stripe's checkout or customer portal and are subject to Stripe's processing.
• Trials. A web subscription may begin with the trial period shown at checkout (currently seven days for eligible web checkouts). Unless you cancel before the trial ends, Stripe will charge the displayed subscription price when the trial ends and the subscription will renew automatically. Trial availability, eligibility, and timing may change and will be shown before you confirm.
• Mobile purchases are processed by Apple or Google. Their store terms govern payment, renewal, cancellation, and refunds. Manage those subscriptions in your store account settings.
• Available add-ons are billed through the applicable processor under the price and proration information shown before confirmation.
• Cancellation stops future renewals but ordinarily does not refund the current period, except as required by law or the applicable store or processor policy. You generally retain paid access through the end of the paid period.
• When paid access ends, features may be limited and pools beyond the current plan's limit may become read-only until you reduce usage or upgrade. We do not delete those records solely because a plan ended.
• Prices and features may change. We or the applicable store or processor will provide notice when required before a changed renewal price takes effect.

Acceptable use

Do not:

• violate law, safety rules, or another person's rights;
• submit information you do not have permission to use or share;
• probe, scrape, overload, disrupt, reverse engineer, bypass limits, introduce malware, or attempt unauthorized access;
• use another person's account or invitation link without permission;
• resell the Service or present its output as professional advice, a laboratory result, or a water-safety certification;
• use the Service to create or train a competing product without our written permission.

Third-party services and external data

The Service relies on providers such as Replit, Apple, Google, RevenueCat, Stripe, Open-Meteo, BigDataCloud, and mapping services. External data, links, stores, and services are controlled by their providers and may be inaccurate, delayed, unavailable, or subject to separate terms. SunChem is not responsible for third-party services to the extent permitted by law.

Service availability and changes

We may update, add, remove, limit, suspend, or discontinue Service features. We do not promise uninterrupted availability, permanent storage, compatibility with every device, or that every error will be corrected. Keep independent records of information you cannot afford to lose.

Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available." SunChem disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, safety, availability, and results. We do not warrant any dose, calculation, weather data, prediction, warning, product match, or other output. Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.

Limitation of liability

To the maximum extent permitted by law, SunChem and its owners, employees, contractors, affiliates, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, data, use, or goodwill; substitute services; or property damage, personal injury, illness, or death arising from or related to the Service, pool conditions, chemical handling, or decisions based on Service output, even if advised of the possibility.

To the maximum extent permitted by law, the total aggregate liability of SunChem and the parties listed above for all claims related to the Service will not exceed the greater of (a) US $100 or (b) the amount you paid SunChem for the Service during the twelve months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited or excluded under applicable law. Some jurisdictions do not allow certain exclusions or limits, so portions of this section may not apply.

Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SunChem and its owners, employees, contractors, affiliates, and suppliers from third-party claims, damages, and reasonable costs arising from your unlawful misuse of the Service, your violation of these Terms, or information you submit without the necessary rights. This section does not require indemnification for SunChem's own negligence or misconduct where prohibited by law.

Suspension and termination

You may stop using the Service at any time and may request account deletion through Settings, subject to team-owner protections. We may suspend or terminate access to protect users or the Service, comply with law, address nonpayment, or respond to a material or repeated violation of these Terms. Where reasonable, we will provide notice or an opportunity to fix the issue.

Changes to the service or these terms

We may update these Terms as the Service or law changes. We will post the updated Terms and change the date above. For material changes, we will provide additional notice when required. Changes apply prospectively from their effective date. Continued use after that date constitutes acceptance where permitted by law.

Governing law and mandatory rights

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules, except that mandatory consumer-protection laws of your place of residence continue to apply where they cannot be waived. Nothing in these Terms limits rights or remedies that applicable law does not permit you to waive.

General terms

These Terms and the Privacy Policy are the entire agreement between you and SunChem concerning the Service. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A waiver must be in writing and is not a continuing waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of the Service. Section headings are for convenience only. Provisions that by their nature should survive termination will survive.
